Coach Agreement

Coach Pro provides tools: program building, tracking, messaging, check-ins, and payment infrastructure. We do not employ coaches, do not supervise coaching, do not review or endorse programs, and do not provide medical, nutritional or fitness advice. Every coaching relationship is between the coach and their client.

• You act as an independent business. Nothing here creates employment, agency, partnership or joint venture with Coach Pro.
• You set your own prices, programming, availability and coaching methods.
• You are responsible for your own business registration, insurance, taxes, VAT, and social contributions in your country.
• You may not represent yourself as an employee or official representative of Coach Pro.

Payments run through Stripe Connect direct charges. That means you are the seller and merchant of record for every program and subscription you sell.

• The contract of sale is between you and your client. Coach Pro is not a party to it.
• Stripe's processing fees are deducted from your gross sale; Coach Pro's platform fee is collected as an application fee.
• You are responsible for issuing receipts/invoices, applying the correct VAT treatment, and handling chargebacks and disputes for your own sales.
• You are responsible for honouring refunds and consumer withdrawal rights owed to your clients.
• Platform fees are non-refundable: Coach Pro's fee is earned when the sale completes. If you later refund a client, the client receives 100% of what they paid, and the platform fee for that sale stays with Coach Pro (as do Stripe's processing fees, which Stripe does not return).

• You warrant that you hold any qualifications, certifications, licences and insurance required where you and your clients are located.
• You are responsible for screening clients for health risks and for the safety and suitability of everything you prescribe — training, nutrition, supplements or otherwise.
• You must not diagnose, treat, or give medical advice unless you are separately licensed to do so.
• You must not sell or recommend prohibited, prescription-only or unlawful substances through the platform.

For the client data you collect and use for your own coaching, you act as an independent controller; Coach Pro acts as your processor for the hosting of that data under the Data Processing Addendum.

• Only collect health data (injuries, weight, photos) that you actually need, and keep it confidential.
• Respond to your clients' access, correction and deletion requests, and tell us if you need our help.
• Do not export client data to other tools without a lawful basis and appropriate safeguards.

You keep ownership of the programs and content you create. You grant Coach Pro a non-exclusive, worldwide licence to host, reproduce and display that content solely to operate the platform and deliver it to your clients. You warrant that you have the rights to everything you upload.

You will indemnify and hold Coach Pro harmless from any claim, loss, liability, fine or expense (including reasonable legal fees) arising out of your coaching, your content, your sales, your tax or regulatory obligations, your handling of client data, or your breach of this agreement — except to the extent caused by Coach Pro's own gross negligence or wilful misconduct.

Coach Pro's total liability to a coach for any claim is limited to the platform fees that coach paid us in the 3 months before the claim. We are not liable for lost profits, lost clients, lost data, or indirect or consequential loss.

We may suspend or terminate a coach account — immediately where there is risk of harm, fraud, chargeback abuse, illegal activity, or a breach of the Acceptable Use Policy. Funds already settled to your Stripe account are unaffected; pending application fees remain payable.

We will give at least 14 days' notice of material changes to this agreement. Continuing to sell through the platform after they take effect means you accept them. Questions: Contact@Coachpro.website.
